I'll try to keep this simple and brief.

NYSE: ZIM Integrated Shipping Services Ltd. Think boats, oceans, and moving goods.

ZIM has a signed merger agreement from Hapag-Lloyd for $35.00 per Share in Cash and the stock is currently trading for around \~$25 per share. The deal is estimated to close Q4 2026.

Which means a 40% upside if you buy shares OR for the more risky WSB crowd nearly 300% gain for December $30 Strike Calls.

The obvious question is why the 40% spread? Usually mergers hold closer to a 15% spread pre-closing of merger. The answer is perceived risk, which I believe to be overblown.

The Main Risk

The Israeli government owns a "golden share" in ZIM, for national security reasons. There is political risk that the government won't approve the deal, but I believe that is not the case here.

Historically Israel precedent has not been outright veto of mergers under the Special State Share. Instead negotiation, restructuring, and modification until the government's security concerns are addressed is what they do.

In this case, Hapag-Lloyd and ZIM structured the merger specifically to address their concerns from the onset. That doesn't mean there won't be additional asks from the Israeli gov that will need to be addressed, but I don't believe they will kill the deal.

If anything it is possible the close date gets pushed out. The estimated close date is Q4 2026, but the actual language in the merger agreement gives them until Feb 2027, with one potential extension until June 2027 if special conditions are met.

Additional Positive Indicators

This is a pure merger arbitrage play with serious upside and measured downside risk depending on positioning.

If for some reason the deal falls apart a fair value for ZIM would be in the $19-$20 range representing an approximate \~25% downside risk for shareholders at the current \~$25/share price.

My personal plan is to start building a sizable share position and continue adding to the position over the weeks. I initialized my first position today with $100,000 to open. I plan to continue to build up this share position to somewhere around $500,000 worth in shares over the upcoming weeks with the option to build up to 7 figures depending on how it develops.
